1. Agreement to Terms

Welcome to Divv ("Divv," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, application, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity ("Organization"), you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms

We may modify these Terms at any time, in our sole discretion. If we do so, we’ll let you know either by posting the modified Terms on the site or through other communications. Your continued use of the Service after such posting will be deemed to constitute acceptance by you of such modifications.

3. Registration and Accounts

You may be required to register for an account to access the Service. You agree to provide information that is current, complete, and accurate. You are responsible for the confidentiality and use of your account credentials and agree to notify us immediately of any unauthorized use of your account. You are entirely responsible for any and all activities that are conducted through your account.

4. Subscriptions and Payment

The Service may require payment of fees on a subscription basis. By choosing a subscription plan, you agree to pay the fees associated with that plan.

• Payment: We may use a third-party payment processor to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms. We are not responsible for any error by the payment processor.
• Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it. You authorize us or our third-party payment processor to charge your chosen payment method for the renewal term.
• Cancellations: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current billing period.

5. User Content

You retain all ownership rights to the data, text, files (including CSVs), and any other information you upload, submit, or provide to the Service ("User Content").

• License Grant to Divv: By providing User Content, you grant Divv a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing, maintaining, and improving the Service for you.
• Your Responsibility: You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to the User Content and that its use in connection with the Service does not violate any applicable laws or infringe upon the rights of any third party.
• Monitoring and Removal: We have the right, but not the obligation, to monitor User Content. We reserve the right, in our sole discretion, to remove or edit any User Content that we believe violates these Terms or our policies.
